PRE-LAUNCH DOCUMENT

Terms and conditions.

Version 1.2 review draft | Updated 11 October 2026 | Effective date pending public-launch approval

These terms explain the agreement for using Driveable, including the mobile app, connected account service and our website. Driveable helps independent drivers organise work, earnings, vehicle estimates and expense records. It is not a tax adviser, accounting practice, tax filing service or guarantee of earnings. Please read the sections about estimates, subscriptions, your records and your legal rights before using the service.

1 Who provides Driveable

Driveable is operated by Hugo McLean, a New Zealand sole trader trading as Driveable. In these terms, “Driveable”, “we”, “us” and “our” mean that operator. “You” means the person using the service or the business that person is authorised to represent. Business/contact address: pending public service address, New Zealand.

Contact our support team at support@driveable.co.nz or https://driveable.co.nz/support. We aim to reply within two business days. Privacy requests go to our Privacy Officer at support@driveable.co.nz. Our Privacy Policy at https://driveable.co.nz/app-privacy explains our collection and handling of personal information. The Privacy Policy does not give us permission to disregard a separate consent choice or a legal obligation.

We do not sell your data. Driveable does not sell, rent or trade your personal information or datasets made from your work records. Your location, earnings, expenses and receipts are not used by Driveable for targeted advertising. The Privacy Policy explains necessary processing by service providers, support and limited lawful disclosures. Using Driveable does not give us permission to sell your records.

2 Your agreement and eligibility

The account creation or first-use screen will give you access to these terms and ask you to accept them before you begin using the service. If you do not agree, do not create an account or continue into the service. Merely viewing an informational page does not subscribe you to a paid plan.

You must be at least 18 and able to enter this agreement. Driveable is designed for adult independent drivers and is not a children's service. If you use it for a business, you confirm that you can act for that business. You must comply with the licence, insurance, road safety, platform and work requirements that apply to your own activities. Access to Driveable does not establish your eligibility to drive, deliver goods, carry passengers or work for any platform.

Driveable is offered for use in New Zealand. Its driving records and examples use NZD unless otherwise stated. Do not assume its vehicle data, cost estimates or linked guidance apply in another country. Mandatory rights applying to you are preserved even where these terms choose New Zealand law.

3 What the service provides

Features available in your version and plan may include shift timing, distance recording, entered income and tips, vehicle profiles, receipt storage and scanning, expense categories, work-use percentages, cost estimates, earnings summaries, servicing reminders and supported iPhone Lock Screen features. The plan description shown when you subscribe identifies the paid features included in that purchase.

Driveable is an organisational and planning tool. It does not provide jobs, process fares, hold your earnings, connect to your bank, verify platform payments, arrange insurance, certify roadworthiness or act as your employer or agent. Names of delivery, taxi and vehicle businesses identify your records or data sources; they do not imply those businesses endorse us.

Examples, screenshots and sample data illustrate a feature. They are not promises about your income, savings, deductions or business performance. A development preview, experimental feature or proposed offer is not a commitment that it will be commercially released.

4 Accounts and security

A Driveable account is required to use the app. Give accurate account information and maintain access to your email address. Use a unique password or a supported Apple/Google login, keep sign-in details private, and tell us promptly if you believe your account has been accessed without permission. Provider sign-in is subject to that provider's own account requirements. We will not ask you to send your password by email. Do not share an individual account with another driver or use another person's identity.

You are responsible for activity you authorise through your account. You are not automatically responsible for unauthorised activity caused by our failure to meet our obligations. We may use proportionate identity checks before changing account details or disclosing or deleting records. Checks will be limited to what is reasonably needed and will not be used to obstruct your rights.

Use one recording device for an active shift. Starting competing shifts on different devices can cause conflicting records. Resolve queued changes before switching recording devices where possible. Contact support if a sync conflict prevents normal access.

5 Safe use while driving

Set up and review Driveable while safely parked. Do not type, photograph receipts, review graphs or interact with a widget in a way that distracts you or breaches road rules. A Lock Screen shortcut does not make an interaction safe or lawful while moving.

Driveable is not navigation, an emergency service, a driving safety system, a work-time compliance system or a certified commercial-driver logbook. Its timer and reminders do not replace rest requirements, safety checks or official expiry notices. You remain responsible for your vehicle, work and travel decisions.

6 GPS and recorded distance

GPS shift recording requires a supported installed mobile build, enabled location services and the permissions explained in the app. With permission, recording can continue during an active shift while the app is in the background or the screen is locked. Use Take a break to pause recording and exclude break time and travel from the shift. Use Resume work when you return, and finish the shift when your work ends. Removing location permission stops access to new location data but does not erase records already saved.

Distance may be affected by weak signals, buildings, tunnels, battery restrictions, permission changes, force-quitting, phone restarts, device faults or software interruptions. Distance filters also reject some readings to limit false movement. We cannot promise an exact odometer match or uninterrupted recording. Review each shift's distance and record any necessary correction and explanation.

The browser records manual distance rather than background GPS. Estimated odometer totals add recorded work kilometres to a physical reading; they do not automatically capture private driving. Check the physical odometer and calibrate it when appropriate. Raw GPS handling is described in the Privacy Policy.

7 Earnings and vehicle estimates

“Estimated real profit”, hourly earnings, cost per kilometre, estimated fuel or electricity use, charts and similar figures are planning estimates based on the information entered and the assumptions shown. They may exclude costs or adjustments relevant to your circumstances. They are not audited accounts, taxable profit, cash available in your bank or guaranteed results.

Enter earnings after platform fees as the form instructs. Enter tips once, in the tips field, and do not also include those tips in service income. Keep platform statements showing gross income, fees, GST, credits and adjustments separately. Driveable does not reconcile those statements or calculate your complete taxable income.

Consumption ratings and vehicle matches can differ by market, engine, variant, driving conditions and vehicle condition. Confirm the selected vehicle and adjust assumptions when better information is available. A fuel purchase may update future unit-price assumptions; it does not measure the exact fuel consumed by each shift. Historical shift snapshots may retain earlier assumptions.

Annual costs, depreciation and servicing allowances are allocated estimates. They do not establish actual depreciation, a market valuation, an NZTA fee payable in your case, or an IRD kilometre rate. Reminders are organisational aids, not mechanical advice or a promise that your vehicle is safe.

8 Expenses and tax boundaries

Saving an expense, choosing a category, scanning a receipt or entering a work-use percentage does not establish that the expense is tax deductible. The recorded work portion is arithmetic applied to your saved percentages. It is not an approved claim amount, a refund estimate or an assessment of legal eligibility.

Driveable does not determine whether an item is private, capital, immediately deductible, subject to depreciation, affected by GST or treated differently under a particular tax method. It does not calculate or file income tax, GST, PAYE, ACC, provisional tax or other returns, and it does not represent you before IRD. Links to official material provide further reading, not personal advice or endorsement.

You must check claims and filing decisions with IRD or an appropriately qualified adviser. Retain evidence for each business purpose and any allocation between work and private use. A shift total is not necessarily a complete record of each business journey. Do not treat GPS shift tracking as a certified IRD logbook.

Our role and these limitations do not excuse an inaccurate statement we make about the service or remove legal remedies you otherwise have. We will describe the service honestly and address reported faults with reasonable care.

9 Receipt scanning and your content

Receipt recognition suggests details for your review. It can misread totals, dates, currencies, quantities and merchants, and a receipt may contain multiple categories or private purchases. You must check the suggestion against the original and split mixed purchases where appropriate before confirming. The scanner does not authenticate receipts or give tax advice.

Only upload material you are entitled to use and disclose. Avoid customer addresses, passenger details, full payment-card numbers, identity documents and other people's information unless genuinely necessary and lawful. Where a receipt contains unnecessary personal information, remove or obscure it before choosing the image. Do not submit fabricated or altered records to mislead anyone.

You retain ownership of your records and receipt images. You give us a limited permission to store, copy, process and display them to provide the service you request, protect it and meet legal obligations. This is not permission to sell your records, advertise using their contents or train a general-purpose AI model on them. The permission ends when the relevant information is deleted, except for limited lawful retention described in the Privacy Policy.

10 Offline and local use

An installed app can save supported shifts and expenses on the device when mobile data is unavailable after setup. A connected account queues changes and attempts upload when connectivity and the app permit. A local save is not confirmation that a server has received the record. Check sync status before changing devices, clearing storage or removing the app.

Signing in, creating a connected account, some vehicle settings, external lookups and other online features need connectivity. Browser recognition may need to load its reader files. Device storage limits, operating-system restrictions and interrupted uploads can affect availability. Offline does not mean every feature works without data.

The app no longer offers account-free use. Local-only and browser-preview records saved in earlier test versions remain separate from signed-in accounts and are not automatically transferred by signing in. Device loss, uninstalling, clearing browser or app data, or loss of an unsynchronised recording can remove your only copy. Keep original receipts and other independent records. Device or browser backups may contain copies that are controlled by you and the relevant platform provider.

11 Your records and retention responsibilities

Review your records regularly and keep copies needed for your business. We do not promise a statutory archive, indefinite storage or an IRD-approved record-keeping system. Do not rely on Driveable as your only copy of information required by law. Ask support about obtaining your personal information and preserve anything you need before requesting account deletion.

New Zealand record-keeping obligations can extend beyond the time you use Driveable. Those obligations do not mean we must retain every customer's records after deletion. Our retention obligations for our own accounts, disputes or legal requirements are separate from your obligations for your business records.

If account access or a technical fault prevents you obtaining records, contact support. We will provide reasonable assistance consistent with our legal obligations and verified identity checks. This is not a guarantee that deleted, never-saved or irretrievably lost data can be recovered.

12 Free access and optional Pro

Creating an account does not by itself authorise a charge. A price example or “Could Pro pay for itself?” calculation is an illustration, not an invoice or promise of a return. Subscription integration has been implemented for testing, but this review draft does not establish that live store purchases are available. A preview, test entitlement or simulated transaction does not create a paid subscription. No payment is due merely for exploring those screens.

When a paid plan is offered, you choose it and authorise the purchase through the applicable store checkout. RevenueCat helps verify purchases and Pro access; it does not replace the store checkout. Before purchase, we will show the features, currency, total price, billing interval, renewal basis, applicable taxes and any introductory or trial conditions. We will not convert a free account or a preview into a paid subscription without your affirmative authorisation.

For App Store purchases, Apple processes payment under its applicable terms. For Google Play purchases, Google processes payment under its applicable terms. We use the purchase mechanisms required for the storefront and territory. Any separate permitted web purchase will identify the seller and payment provider before payment. Driveable does not receive your complete payment-card details through the stores.

13 Subscription renewal and cancellation

This section applies only if you purchase an active paid subscription. An automatically renewing plan renews for the period and price shown in the purchase confirmation unless cancelled in time under the applicable store's rules. Your store account is charged using its authorised payment method. Check its renewal date and cancellation requirements; for Apple, cancel at least 24 hours before the current period ends to avoid the next renewal.

You can manage or cancel through the store that billed you. On iPhone, use the Apple account subscription settings or https://apps.apple.com/account/subscriptions. For Google Play, use Payments and subscriptions in Play Store or https://play.google.com/store/account/subscriptions. Cancellation usually stops future renewal while access continues for the paid period, subject to refunds and applicable store rules.

Deleting the app, signing out or requesting account deletion does not necessarily cancel a store subscription. We will make the distinction clear and provide cancellation guidance. You may request account deletion without being forced to wait for the subscription to expire. Deleting your account can remove the records and account access associated with that subscription.

Trial and introductory offers will explain eligibility, duration, the amount due after the offer and how to avoid a charge. An expired or cancelled offer need not be repeatable. Restore-purchase tools, when subscriptions are available, help recover eligible entitlements for the same store account; they do not guarantee recovery of deleted Driveable records or transfer between different storefront accounts.

If we change recurring prices or materially reduce paid features, we will give advance notice and follow any store consent requirements. Changes will not retrospectively increase an already-paid period's price. You may stop renewal before a change takes effect. If we cannot provide the purchased service, your contractual and statutory remedies remain available.

14 Refunds and billing issues

Use the relevant store's refund process for purchases it handles, and contact us if you need assistance identifying the transaction or resolving a service issue. Store refund rules do not remove any mandatory right you have against us. We do not apply a blanket “no refunds” rule.

Where we are responsible for a remedy, we will provide the remedy required by law. If we permanently discontinue a paid service before an already-paid period ends and no equivalent service is agreed, we will arrange the appropriate refund or other required remedy, working with the store when it processed payment. Tell us promptly about suspected duplicate or unauthorised charges. We will not require you to waive legal rights to investigate a complaint.

15 Referrals and promotions

The planned New Zealand launch offer is 30% off Pro for the first three monthly payments for eligible customers who subscribe within the first fourteen days after launch. Joining the waitlist alone does not start a subscription, reserve a purchase or start the discount period. The launch date, exact offer window, eligibility, discounted price and standard renewal price must be displayed before purchase. After the three discounted payments, the subscription renews at the disclosed standard price unless cancelled. This offer still needs store configuration and acceptance testing before it is enabled; no artificial countdown or unannounced launch date applies.

Recording or sharing a referral code does not itself earn a reward. The existing referral programme is a preview: no discount or free month is applied until billing and a live offer are implemented and displayed to the participant. A described proposed offer is not a purchasable entitlement.

Any live offer must state its eligibility, reward, qualifying event, any waiting period, maximum rewards, expiry, territory and whether it can be combined with other offers before participation. Those specific offer terms supplement these terms. Do not assume a proposed first-payment discount or free month will be available on every store.

Do not refer yourself, create duplicate accounts, send unsolicited bulk messages, buy fraudulent transactions or mislead recipients about the relationship or reward. Use your own lawful communication methods. Driveable does not upload your address book to send invitations. Make clear any benefit you may receive when that is relevant to the invitation.

We may investigate suspected abuse and temporarily hold the disputed reward. We will give an explanation and a reasonable opportunity to challenge the decision unless doing so would compromise a lawful fraud investigation. Reversals will be limited to genuinely invalid, refunded or abusive qualifying events under the offer. We will not arbitrarily revoke earned valid benefits or change an offer retrospectively. Changes to future offers will be clearly announced.

16 App licence and intellectual property

Except for your records and third-party materials, Driveable and its branding, software and original content belong to us or our licensors. You may use the service for your own lawful work and record keeping within your plan. You must not resell access, copy substantial proprietary material, bypass technical protections or misrepresent our brand as your own. Rights allowed by law and open-source licences are not restricted by this paragraph.

For the iOS app distributed through Apple's App Store, Apple's Standard Licensed Application End User License Agreement governs the app licence unless a separately approved custom licence is expressly supplied: https://www.apple.com/legal/internet-services/itunes/dev/stdeula/. These Driveable terms govern our account and service relationship and do not replace that standard licence or reduce Apple usage rights. Where mandatory store terms govern a store transaction or device licence, those terms take priority for that subject.

For other versions, we grant a limited, non-exclusive, non-transferable right to use the app on devices you lawfully control, subject to these terms and applicable store rules. Open-source components remain subject to their licences. Third-party names and data retain their owners' rights. Feedback may be used to improve Driveable without requiring you to transfer ownership of your business records or personal information.

17 Misuse and third party services

Do not interfere with the service, attempt unauthorised access, bypass another user's privacy, upload malware, overload our systems, impersonate another person, falsify referral or billing events, or use the app to facilitate unlawful activity. You may report a suspected security issue privately to support@driveable.co.nz. Do not access or retain another person's information to demonstrate a vulnerability.

Vehicle information services, app stores, external guidance pages, device operating systems and your delivery platforms operate separately. Their rules and availability may affect features. We do not control their decisions, but we remain responsible for our own service and any obligations we have when choosing and managing providers. A link is not a warranty of all third-party content.

18 Service quality and changes

We will use reasonable care and skill in providing Driveable. We may maintain, repair or improve the service and address security risks. Where a planned change materially affects normal access, we will give reasonable notice when practicable. Urgent security or legal changes may require faster action, with an explanation as soon as appropriate.

We do not promise uninterrupted access, compatibility with every device, perfect recognition, complete external vehicle coverage or a particular business outcome. These practical limits do not override paid feature descriptions or mandatory guarantees. We will not use a general right to change the service to avoid obligations for something already purchased.

19 Suspension and ending this agreement

We may restrict access where reasonably necessary to address a material breach, genuine security threat, unlawful use or binding legal requirement. The action will be proportionate. Where practicable, we will explain the reason, identify what can resolve it and allow a reasonable opportunity to respond. Immediate action may be needed to protect people or data; we will review it when the immediate risk has passed.

You may stop using Driveable at any time, cancel future subscription renewals and request account deletion. Ending use does not waive accrued rights, erase unpaid lawful charges already incurred or cancel a separate store subscription automatically. We will not hold personal-information access or deletion requests hostage to a disputed debt.

If we close the service, we will give reasonable advance notice where possible and a reasonable opportunity to obtain records before scheduled deletion. Security restrictions and legal requirements may limit that opportunity in a particular case. Any refund due and privacy obligations continue after closure.

20 Account deletion and privacy

You can initiate deletion through the account deletion option in the app or through https://driveable.co.nz/support#account-deletion. We may confirm identity and explain the consequences before processing it. We will delete the account and associated data under the Privacy Policy, subject to specific lawful retention. Deactivation alone is not deletion.

Keep records you need before confirming deletion. Offline copies on devices we cannot reach, your original photos and your own exports or backups may remain outside our control. The Privacy Policy explains these limits, the deletion timetable and how to contact the Privacy Officer. Turning off a permission is separate from deleting information already saved.

21 Legal rights and responsibility

Nothing in these terms excludes or limits rights or obligations that cannot lawfully be excluded or limited, including applicable rights under New Zealand's Consumer Guarantees Act 1993, Fair Trading Act 1986 and Privacy Act 2020. Calling someone a contractor or business user does not by itself remove any protection that applies. These terms do not attempt a blanket contracting-out of consumer law.

Each party is responsible for loss to the extent it is caused by that party's breach of this agreement or legal obligations. Take reasonable steps to avoid or reduce preventable loss. You are responsible for the accuracy of your own entries and decisions, but we remain responsible for our own representations, performance and data handling. A disclaimer that Driveable is not a tax adviser does not remove liability the law places on us.

22 Limits that apply only where lawful

Subject to section 21 and the exceptions below, our total contractual liability to you for claims arising in any 12-month period is limited to the greater of NZ$500 and the fees you paid for Driveable in the 12 months before the event giving rise to the claim. Claims from the same underlying incident are treated as one event. This limit does not restrict a refund or statutory remedy to which you are entitled.

The limit does not apply to fraud, wilful misconduct, gross negligence, a breach of confidentiality or privacy obligations, death or personal injury to the extent liability cannot be limited, or any other liability the law does not permit us to limit. We do not exclude all liability for our own negligence, impose an unlimited indemnity on you or require you to reimburse losses caused by our own fault.

We are not responsible for speculative or unforeseeable losses that the law would not require us to compensate. This statement does not override a law that provides a broader remedy. Whether a tax penalty, lost record or other loss is recoverable depends on the facts and applicable law, not solely on the description of Driveable as a record-keeping tool.

23 Complaints and disputes

Contact support@driveable.co.nz with the issue, relevant dates and the outcome you are seeking. Do not include passwords or unnecessary sensitive information. We aim to acknowledge complaints within five working days and give a substantive response within twenty working days, or explain any additional time needed. Statutory response deadlines take priority.

If unresolved, you may use a court, the Disputes Tribunal where it has jurisdiction, the Privacy Commissioner for privacy matters or another appropriate regulator. We do not require confidential arbitration, waive class or representative rights where protected by law, or prevent you reporting concerns to a regulator. Both parties may seek urgent protective relief when necessary.

New Zealand law governs these terms, subject to any mandatory local protection that applies to you. New Zealand courts have non-exclusive jurisdiction; this does not remove a right to bring a claim in another forum that applicable law makes available.

24 Changes and general provisions

We may update these terms for changes in law, security, the service or business arrangements. Material changes will be explained with reasonable advance notice, normally at least thirty days, unless urgent legal or security reasons prevent that. We will not impose a material new obligation retrospectively. Where a change requires agreement or store consent, we will obtain it. You may stop using the affected service and cancel renewal before the change applies, without losing accrued rights.

We may transfer this agreement as part of a genuine business reorganisation or sale if your rights are not materially reduced and the successor can perform our obligations. Personal information remains subject to the Privacy Policy and applicable law. We will provide appropriate notice of a change in the responsible operator. You may not transfer account access to another person without our agreement, except where the law or applicable store rules require otherwise.

If a term is unenforceable, the remaining terms continue where they can reasonably operate, and the invalid term will be limited only as the law permits. A delay in enforcing a right does not permanently waive it. These terms, the applicable plan or offer details and the relevant store terms describe the agreement; they do not exclude legal remedies for misleading statements made before you signed up.
